These Terms of Service (“Terms”) govern your access to and use of the Health Quest Billing LLC (“HQB,” “we,” “our,” or “us”) website, client portal, forms, documents, scheduling tools, and any related online services (collectively, the “Site”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.

1. Who We Are

Health Quest Billing LLC (“HQB”) provides revenue cycle management, medical billing, credentialing, payer enrollment, denial management, and related administrative services to healthcare providers.

These Terms apply to all visitors, prospective clients, clients, and users of the Site.

2. No Medical or Legal Advice

HQB does not provide:

Providers are solely responsible for all clinical and operational decisions, including coding accuracy and compliance with payer requirements, healthcare laws, and regulations. You should consult appropriate medical, legal, or financial professionals for advice specific to your circumstances.

3. Client Services Are Governed by Separate Agreements

Use of the Site does not create a client relationship.

If you become a client of HQB, services are governed exclusively by:

If these Terms conflict with a signed agreement, the signed agreement controls.

4. Payment Processing

If the Site allows invoice payment or recurring billing:

Refunds and billing disputes are governed by the MSA/SOW, not these Terms.

5. Accuracy of Information

You agree that any information submitted through the Site—including forms, credentialing intake, PHI, payment information, or business details—is accurate and complete.
Providing false information may result in the refusal or termination of services.

6. Data Security and Privacy

HQB operates as a Business Associate under the Health Insurance Portability and Accountability Act of 1996 (“HIPAA”) when handling Protected Health Information (“PHI”) on behalf of covered healthcare providers. We maintain administrative, physical, and technical safeguards designed to protect personal information and, where applicable, PHI. However, by using the Site, you acknowledge that electronic transmission carries inherent risk and HQB does not guarantee:

• uninterrupted access
• error-free operation
• immunity from cyberattacks or unauthorized access

In the event of a data breach involving PHI, HQB will comply with applicable federal and state breach notification laws.
Data handling practices are further described in HQB’s Privacy Policy, which is incorporated by reference.

7. Ownership of Content

All content on the Site—including text, graphics, trademarks, logos, reports, documents, and proprietary tools—is owned by HQB or licensed for HQB’s use.
You may not copy, reproduce, distribute, modify, publish, scrape, reverse engineer, or create derivative works without written authorization. Use of the Site to evaluate or develop a competing service is strictly prohibited.

8. Prohibited Use

You agree not to:

To the fullest extent permitted by law, HQB disclaims all warranties, including:

No verbal or written statement from HQB creates a warranty unless signed by an authorized officer. HQB also disclaims any warranty that the Site or its content ensures regulatory compliance or satisfies any specific billing or payer requirement.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW:

• HQB SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST REVENUE, DATA LOSS, DOWNTIME, BILLING DENIALS, PAYER ACTIONS, OR REGULATORY PENALTIES.

• HQB IS NOT RESPONSIBLE FOR CYBERATTACKS, SYSTEM FAILURES, THIRD-PARTY OUTAGES, OR ANY ISSUES OUTSIDE OF ITS DIRECT CONTROL.

• HQB’S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO USE OF THE SITE SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

• THESE LIMITATIONS APPLY EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

All limitations of liability shall survive termination of these Terms.

12. Indemnification

You agree to indemnify, defend, and hold harmless HQB, its affiliates, officers, employees, agents, and contractors from and against any and all claims, damages, liabilities, losses, costs, or expenses (including reasonable attorneys’ fees) arising from or related to:

• your use of the Site
• your submission of inaccurate, incomplete, or unlawful information
• your violation of these Terms
• your violation of applicable laws, regulations, or third-party rights

This obligation survives termination of these Terms.

13. Changes to These Terms

HQB may update these Terms at any time.
Revised Terms become effective upon posting.
Continued use of the Site constitutes acceptance of updated Terms. Where required by law, we may provide notice of material changes via email or prominent notice on the Site.

14. Termination of Access

HQB may suspend or terminate access to the Site without notice if:

15. Governing Law

These Terms are governed exclusively by the laws of the State of Delaware and applicable U.S. federal laws.
Any dispute must be brought in a court of competent jurisdiction located in Delaware.

You agree to submit to the exclusive jurisdiction and venue of the state and federal courts located in the State of Delaware for any legal matter arising from or relating to these Terms or your use of the Site.

16. Binding Arbitration

To the fullest extent permitted by law, you and HQB agree that any dispute, claim, or controversy arising out of or relating to these Terms or use of the Site shall be resolved through final and binding arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules. The arbitration shall take place in Delaware, and judgment on the award rendered may be entered in any court of competent jurisdiction. This clause does not apply to disputes governed by a separate agreement between you and HQB (such as an MSA).
